End User License Agreement
This End User License Agreement ("Agreement") governs your use of the "HartSmart Hermes" application ("the App"), an internal business-management application provided by HartSmart Products ("Licensor") that connects to Intuit QuickBooks Online via Intuit's official application programming interface.
1. License Grant
Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the App solely for internal business purposes of HartSmart Products. The App is not licensed to, and may not be used by, any third party.
2. Intuit QuickBooks Data
The App accesses QuickBooks Online data only with your explicit authorization through Intuit's OAuth consent flow. By authorizing the connection you permit the App to read and write data in the connected QuickBooks Online company — including customers, invoices, estimates, payments, and financial reports — for accounting and business-management purposes. You may revoke this authorization at any time through your Intuit account settings or by contacting us.
3. Restrictions
You may not: copy, modify, or redistribute the App; reverse-engineer or attempt to extract its source code; use the App to access data of any QuickBooks company other than the one you authorized; or use the App for any unlawful purpose.
4. Data Handling
Data accessed through the App is handled in accordance with our Privacy Policy. Credentials and tokens are stored securely with access restricted to authorized HartSmart Products personnel.
5. No Warranty
The App is provided "as is" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Accounting data remains the authoritative record in QuickBooks Online; the App does not replace it.
6. Limitation of Liability
To the maximum extent permitted by law, Licensor shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of the App, including data-entry errors, lost profits, or business interruption. Total liability shall not exceed $100.
7. Termination
This license terminates automatically if you breach any term. Upon termination, discontinue use of the App and revoke its QuickBooks authorization.
8. Governing Law
This Agreement is governed by the laws of the State of Iowa, USA, without regard to conflict-of-law principles.
